August 04, 2026 (MLN): BRR Guardian Limited (PSX:BRRG) has disclosed that 23,752,122 ordinary shares have been issued and credited into the CDS account of BRR Financial Services (Private) Limited (BRRFS), pursuant to the Scheme of Arrangement and Reconstruction sanctioned by the Sindh High Court on May 6, 2026, following the transfer of designated assets from BRRFS to BRRG as verified by the statutory auditors.
The company said the shares were credited at the end of the day on July 31, 2026, in accordance with Section 96 of the Securities Act, 2015 and Clause 5.6.1(a) of PSX Regulations, referencing its earlier material information notice dated May 12, 2026.

Following the allotment, BRR Financial Services has become a substantial shareholder of BRRG, holding 19.99pc of the company's total issued paid-up capital.
The company added that it has also applied for registration of an increase in authorised capital, from Rs1.4bn (140,010,000 ordinary shares of Rs10 each) to Rs1.5bn (150,000,000 ordinary shares of Rs10 each), and that once the SECP's Corporate Registration Office registers the enhanced capital, a separate book closure will be announced for the entitlement and distribution of additional shares under the scheme.
