August 17, 2026 (MLN): LSE SPAC-II Limited's (PSX:SPAC2) Board of Directors recommended a proposed investment in M.P. Industries Limited (MPIL), approving an investment of approximately Rs180mn through subscription of 269,000 ordinary shares of MPIL at Rs669.14 per share, resulting in SPAC2 holding approximately 15% of the post-issue paid-up share capital of MPIL.
The decision was taken at the Board's meeting held on Monday, August 17, 2026, at the Company's registered office, and through Zoom-Video link, after considering due diligence and other relevant information relating to MPIL.
The investment remains subject to the approval of shareholders by way of special resolution and subsequent corporate actions under the SPAC regulations.
The Board has also convened the Annual General Meeting (AGM) on Saturday, September 19, 2026, at 9:30 a.m. at the Company's registered office, The Exchange Hub, LSE Plaza, 19-Kashmir Egerton Road, Lahore, to seek shareholders' approval for the proposed investment and related matters.
The Notice of the AGM, together with the Statement of Material Facts and Information Circular under Section 12(g) of the Public Offering Regulations, 2017, shall be circulated/filed in due course.
