Fauji Cement and KAPCO to acquire 84% of Attock Cement

November 3, 2025 (MLN): Fauji Cement Company Limited and Kot Addu Power Company Limited will jointly acquire 84.06% of the total issued and paid-up capital of Attock Cement Pakistan Limited.
This follows the
of Intention made on 3 June 2025 through Integrated Equities Limited, Manager
to the Offer, regarding the acquisition and joint control of the Target.
The Board of Directors of Fauji Cement Company, in its
meeting held on 3 November 2025, after considering the overall business
synergies as the cement vertical of Fauji Foundation, approved the Company to
be the entity that jointly acquires the stake in Attock Cement along with
KAPCO.
The acquisition is subject to the execution of the share
purchase agreement and related transaction documents, along with satisfaction
of regulatory approvals and other conditions precedent specified therein.
The joint acquisition will be structured as follows: Fauji
Cement Company Limited will acquire 57,763,175 ordinary shares, representing
42.03% of the paid-up share capital of Attock Cement.
Kot Addu Power Company Limited will acquire an equal number
of ordinary shares, 57,763,174, also representing 42.03%. The combined total
will amount to 115,526,349 shares, giving the acquirers joint control with an
84.06% stake in the Target.
