PTCL secures PTA clearance for Telenor, Orion Towers acquisition

December 08, 2025 (MLN): Pakistan Telecommunication Company Ltd (PTCL) has moved a step closer to completing its planned acquisition of Telenor Pakistan and Orion Towers, after securing a key regulatory nod from the Pakistan Telecommunication Authority (PTA).

According to a submitted to the Pakistan Stock Exchange, the PTA granted a conditional Change of Control decision on November 30, 2025, followed by a no-objection certificate (NOC) issued on December 6, 2025.

The NOC approves PTCL’s substantial ownership interest in both Telenor Pakistan (Private) Limited and Orion Towers (Private) Limited.

The development builds on an earlier update issued on, when PTCL signed a Share Purchase Agreement with Telenor Pakistan BV for the acquisition of the companies’ entire issued share capital.

Despite the latest regulatory clearance, PTCL said the transaction is not yet finalized, as it remains contingent on additional corporate approvals, completion of formalities, and the signing of necessary agreements and closing documents.

The company added that any further progress will be communicated to the exchange in line with applicable regulations.
