KEL reschedules EOGM, expands Board election to 13 directors

March 11, 2026 (MLN): K-Electric Limited (PSX:KEL) has rescheduled its Extraordinary General Meeting (EOGM) from March 25 to April 2, 2026, following a directive from the Ministry of Energy (Power Division) and subsequent approval from the Securities and Exchange Commission of Pakistan (SECP).

The rescheduling comes after the Ministry of Energy conveyed that the Government of Pakistan (GOP), as a shareholder of the Company, is entitled to appoint directors through election and/or nomination.

The GOP further indicated it would exercise its right to participate in the nomination and election process as it deems fit.

In light of this communication, the Board of Directors resolved to expand the number of directors to be elected from the previously planned 10 to 13.

The Board also resolved to ensure all statutory and regulatory formalities are complied with before proceeding.

SECP accorded its approval on March 10, 2026, for the EOGM to be convened on April 2, 2026, upon completion of all legal and procedural requirements.

Any person seeking to contest the election of Directors must file their notice of intention along with all requisite documents at the Company's Registered Office no later than March 19, 2026, 14 days before the rescheduled EOGM.
