Zuma Resources to split shares 5-for-1 after shareholder approval

August 03, 2026 (MLN): Zuma Resources Limited (PSX: ZUMA) shareholders have approved sub-dividing the company's ordinary shares from a face value of Rs10 each to Rs2 each, splitting each existing share into five ordinary shares, at an Extraordinary General Meeting held on August 1, 2026, at the company's registered office.

The resolution passed under Section 85(1)(c) of the Companies Act, 2017, keeps the company's total authorized, issued, subscribed and paid-up capital unchanged.

Following the sub-division, the number of issued ordinary shares will rise from 14,100,000 shares of Rs10 each to 70,500,000 shares of Rs2 each, while the issued, subscribed and paid-up capital remains at Rs141,000,000. There will be no change in the rights and privileges attached to the shares.

Clause 5 of the company's Memorandum of Association has also been amended to reflect the revised capital structure, with the authorized capital set at Rs350,000,000 divided into 175,000,000 ordinary shares of Rs2 each.

The Chief Executive Officer and Company Secretary have been authorized, jointly and/or singly, to carry out all acts necessary to implement the resolution, including filings with the Securities and Exchange Commission of Pakistan, the Pakistan Stock Exchange, and the Central Depository Company.

In a separate ordinary resolution, shareholders approved remuneration of up to Rs15m, inclusive of allowances and other benefits, for the Chief Executive Officer and one full-time working director as per their terms of employment, for the year ending June 30, 2027.
