سیکیورٹیز اینڈ ایکسچینج کمیشن آف پاکستان (SECP) نے نیسلے پاکستان لمیٹڈ کو کمپنیز ایکٹ 2017 کے سیکشن 228(7) کے تحت اس کی مکمل ملکیتی ذیلی کمپنی Waters and Premium Beverages PK (Private) Limited کے ساتھ مالیاتی بیانات یکجا (Consolidate) کرنے کی شرط سے استثنیٰ دے دیا ہے۔
- مجاز اتھارٹی: یہ استثنیٰ SECP کے خط نمبر SMD/PRDD/Comp/(166)/2026/44 مورخہ 07 اکتوبر 2026 کے ذریعے دیا گیا ہے۔
- مطلوبہ مدت: یہ استثنیٰ 30 ستمبر 2026 کو ختم ہونے والی نو ماہ کی مدت اور 31 دسمبر 2026 کو ختم ہونے والے مالی سال کے لیے لاگو ہوگا۔
- استثنیٰ کی شرائط: SECP نے استثنیٰ کو مخصوص شرائط سے مشروط کیا ہے جس میں نیسلے پاکستان کے علیحدہ مالیاتی گوشواروں میں ذیلی کمپنی کے مالیاتی جھلکیاں (Financial Highlights) ظاہر کرنا شامل ہے۔
- ریکارڈ تک رسائی: ذیلی کمپنی کے اکاؤنٹس کمپنی کے رجسٹرڈ آفس میں ممبران کے معائنے کے لیے بالکل مفت دستیاب ہوں گے۔
اثر: غیر جانبدار (Neutral)
یہ ایک انتظامی ریلیف ہے جس سے نیسلے پاکستان کے لیے مالیاتی رپورٹنگ کی پیچیدگیاں کم ہوں گی۔ اس فیصلے سے کمپنی کی بنیادی کاروباری آمدنی، منافع یا مالی کارکردگی پر کوئی اثر نہیں پڑے گا۔ سرمایہ کاروں کو نیسلے پاکستان کے آنے والے علیحدہ مالیاتی گوشواروں میں اس ذیلی کمپنی کے کارکردگی کے بنیادی اشاریوں کو مانیٹر کرنا چاہیے۔
The Securities and Exchange Commission of Pakistan (SECP) has granted Nestlé Pakistan Limited an exemption under Section 228(7) of the Companies Act, 2017 from the requirement of preparing and presenting consolidated financial statements with its wholly-owned subsidiary, Waters and Premium Beverages PK (Private) Limited, for the nine-month period ended September 30, 2026, and the financial year ending December 31, 2026.
- Regulatory Authority: Granted by SECP via letter No. SMD/PRDD/Comp/(166)/2026/44 dated October 07, 2026.
- Applicable Periods: Exemption covers the 9-month period ended September 30, 2026, and the full year ending December 31, 2026.
- Conditions of Exemption: Nestlé must disclose the subsidiary's financial highlights in its standalone financial statements and comply with other disclosures set out in the SECP's letter.
