FRCL EPS rises to PKR 4.36 in FY26 (restated YoY base); no dividend declared. Auditors qualify Rs 750m land advance.

(Restatement)
Frontier Ceramics Limited (FRCL) has released its 44th Annual Audited Financial Statements for the year ended June 30, 2026. While the bottom-line shows a massive percentage increase on paper, the results are heavily impacted by a restatement of last year's tax figures and a significant qualification in the Auditor's Report regarding a massive related-party transaction.

Auditor Qualification on related-party land advance (Red Flag)
Uncertainty over Recoverability of Rs. 750.84 million:
The external auditors (Crowe Hussain Chaudhury & Co) have **qualified their audit opinion** regarding the recoverability of the outstanding advance of Rs. 750.837 million paid to the company’s Chief Executive Officer (CEO), Mr. Nadeem Khalid, for a proposed land purchase.
The company decided to withdraw from the Land Sale Agreement. Under the settlement agreement, PKR 200 million was scheduled to be repaid by May 2025, but remained unsettled. The timeline for this partial repayment has subsequently been extended to June 25, 2027. The auditors stated they were unable to verify recoverability and believe an impairment should be evaluated, whereas management has carried the advance at full value without impairment.
Prior Year Restatement & Tax Adjustments
Correction of Tax Error: In preparing the FY26 financial statements, it was discovered that the deferred tax liability for prior years was misstated due to the application of a 29% tax rate instead of the correct 37% rate. Correcting this error resulted in a significant upward adjustment in deferred tax expense for FY25 of PKR 97.36 million. Consequentially, FY25 PAT was drastically restated downwards from PKR 147.50M to PKR 50.14M, which explains the optical illusion of a +230% YoY increase in the current year's profit.
Key Related-Party Transactions & Approvals
- Running Finance Limit Expansion: The company obtained approval to extend the loan limit to associated company Khalid & Khalid Holdings (Pvt) Ltd up to PKR 1.2 billion (previously PKR 800 million) for a period of 3 years at KIBOR + 3.25% per annum.
- Dividend decision: No dividend was proposed by the Board of Directors due to obligations to settle current liabilities.
The financial results present a mixed picture. While sales grew by 9.8%, core operational and gross margins compressed due to higher production and energy costs. The massive earnings-per-share rise (+230%) is primarily due to the low-base effect from last year’s restated tax numbers. The major red flag for investors is the auditor's qualification on the PKR 750 million related-party land advance paid to the CEO, which remains uncollected with extended repayment timelines. Sentiment remains cautionary.
